SaaS Subscription Agreement
How plans, billing, renewal and cancellation work.

1. What this agreement covers
This Subscription Agreement is between Data BI ("we", "us") and the company that creates a FleetOne workspace ("you"). It covers your paid subscription: the plan you choose, how you are billed, how you cancel, and what we owe you in return. It sits alongside our Terms of Service, Acceptable Use Policy, AI Usage Terms and Privacy Policy. If two of them conflict on the subject of billing or cancellation, this agreement wins. On every other subject the Terms of Service win.
The person who creates the workspace confirms they are allowed to bind their company to this agreement.
2. Plans and what you pay for
We offer Starter, Professional and Business plans, and Enterprise for large teams on terms agreed in writing. Each plan is priced per user. A user is anyone with a login to your workspace, including drivers who use the driver portal. Trucks, driver records, customers and loads are not counted or priced.
The features in each plan, and the current price per user, are shown on the Pricing page when you subscribe. Annual billing costs 10 months of the monthly price for 12 months of service. Prices exclude taxes unless stated. You are responsible for any sales, VAT or similar taxes that apply to you.
Your charge follows the number of users on your plan. You can change that from Plan and usage in Settings, and the checkout shows how a change is charged.
3. Free trial
New workspaces get a trial of up to 30 days with full access and no card. When the trial ends you need a paid plan to keep adding or changing records. Your saved records stay readable. We may extend a trial at our discretion. A trial is not a subscription and renews nothing.
4. Billing and renewal
Where payment collection is switched on, our payment provider (Stripe) charges the card or other method you give it. Subscriptions renew automatically at the end of each month or year until you cancel. You can get a receipt for each charge from the payment provider.
If a payment fails we will tell you and the provider may retry. If it is still unpaid after a reasonable grace period we may limit your workspace to read-only access until it is paid. We do not delete your data because a payment is late.
We may change prices or plan contents with at least 30 days' notice. The change applies from your next renewal. If you do not accept it, cancel before that renewal.
5. Cancelling
You can cancel at any time from Plan and usage in Settings, or by emailing us. Cancellation takes effect at the end of the period you have already paid for. You keep full access until then.
Fees already paid are not refunded unless the law requires it or we agree otherwise in writing. If you are in a country where the law gives you a cooling-off or refund right, that right is not affected.
6. Service commitments
We run the service with reasonable skill and care and work to keep it available and backed up. We do not guarantee uninterrupted or error-free service and we do not currently offer a service level agreement or service credits. If you need one, ask us for an Enterprise agreement.

Features that depend on another company's service, such as accounting software, telematics, text messages or the public carrier registry, depend on that provider and are described in our Third-party Services page.
7. Suspension and ending
We may suspend a workspace, for as short a time as is reasonable, if it is badly overdue, if it breaks our Acceptable Use Policy, or if we must to protect the service or other customers. Where we can, we will warn you first.
Either of us may end this agreement if the other seriously breaks it and does not fix the problem within 30 days of written notice. On ending, you can retrieve your data for 30 days. After that it is deleted from live systems and leaves backups on their normal cycle, as set out in the Privacy Policy.
8. Your data and our liability
You own your workspace data. We use it only to provide the service, as set out in the Privacy Policy and the Data Processing Agreement.
Our liability under this agreement is limited as set out in section 10 of the Terms of Service. Nothing here limits liability that the law does not allow us to limit.
9. General
This agreement, with the documents named in section 1, is the whole agreement about your subscription. If a part is found unenforceable the rest still applies. Neither of us may transfer this agreement without the other's written consent, except that we may transfer it to a successor to our business.
This agreement is governed by the laws of the Islamic Republic of Pakistan, as set out in the Terms of Service. We may update it with 30 days' notice of material changes. Questions: connect@databi.me.
